    Enhanced Cooperative Governance Model

Building the banking infrastructure needed for Europe's regenerative and social economy.

As a registered Benefit Corporation (Societa Benefit) under Italian law, we are fully committed to pursue social and environmental objectives alongside economic sustainability.

At Echoes Srl. SB, we are building the banking infrastructure needed for Europe's regenerative and social economy. As a registered Benefit Corporation (Societa Benefit) under Italian law, we are fully committed to pursue social and environmental objectives alongside economic sustainability.

To achieve this, our governance has evolved into an enhanced cooperative governance model. This model unites the globally recognized values of the cooperative movement with our unique structural innovations, ensuring we never compromise our mission.

    Foundation

    The 7 Cooperative Principles

Our governance is deeply rooted in the seven cooperative principles, adopted by the International Cooperative Alliance, which act as the foundation for how we put our ethical values into practice.

    1

    Voluntary & Open Membership

Cooperatives are voluntary organizations, open to all persons able to use their services and willing to accept the responsibilities of membership, without gender, social, racial, political, or religious discrimination.

    2

    Democratic Member Control

We are a democratic organization controlled by our members, who actively participate in setting policies and making decisions. Elected representatives are always accountable to the membership.

    3

    Members' Economic Participation

Members contribute equitably to, and democratically control, the capital of their cooperative. This ensures that the people - not just shareholders - benefit from the cooperative's operations.

    4

    Autonomy & Independence

Cooperatives are autonomous, self-help organizations controlled by their members. If we enter into agreements with other organizations, including governments, or raise capital from external sources, we do so on terms that ensure democratic member control and maintain our unique cooperative identity.

    5

    Education, Training, and Information

We provide education, training, and information so our members, elected representatives, managers, and employees can contribute effectively to the success and development of the cooperative. We also strive to inform the general public about the nature and benefits of cooperation.

    6

    Cooperation Among Cooperatives

We believe working together is the best strategy to empower our members and build a stronger cooperative economy. By working together through local, national, regional, and international structures, we can improve services and bolster local economies.

    7

    Concern for Community

Cooperatives are community-minded. We work for the sustainable development of our communities through policies approved by our members, sourcing and investing locally to create a broader impact.

    Structural Innovation

    Our Fair-Shares Model

To actively apply these principles - particularly those regarding Member Economic Participation and Autonomy & Independence - Echoes utilizes an innovative Fair-Shares Governance structure.

    Patient Capital at Scale

By structuring our capital and voting rights in this way, we actively prevent mission drift by design, ensuring that our ethical mandate to serve the social economy always remains the driving force of our digital bank.

    Core Principles

    Money as a Public Tool

Unlike traditional bank models, the Fair-Shares structure ensures that decision-making remains decentralised and rooted in the communities the bank serves. By treating sustainability as a form of 'collateral' and utilising stewardship governance, the model reclaims money as a public tool for a regenerative economy.

The structure is designed as a Società Benefit (Italian Benefit Corporation) - legally binding the company to pursue social and environmental objectives alongside financial returns, with annual impact reporting.
